These Terms & Conditions (“Terms”) govern your access to and use of the ChooseASquare website, applications, messaging programs, and related services (collectively, the “Services”), operated by CHOOSEASQUARE.COM LLC, a Kansas limited liability company (“ChooseASquare,” “we,” “us,” or “our”).

By creating an account, accessing or using the Services, or otherwise agreeing to these Terms, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.

1. Who May Use the Services

You must be at least 18 years old and able to form a binding contract to create an organizer account.

If you use the Services on behalf of an organization, business, school, team, charity, club, or other entity, you represent that you have authority to bind that entity to these Terms.

You are responsible for activity occurring under your account and for maintaining the confidentiality and security of your account credentials.

2. What ChooseASquare Is and Is Not

ChooseASquare provides software for creating, administering, participating in, and managing recreational competitions, pools, contests, fundraising activities, and related experiences. Features may include squares games, Pick’Em contests, Survivor pools, confidence pools, brackets, drafts, fundraising contests, leaderboards, scoring, participant communications, payment tracking, and other contest-management tools.

ChooseASquare is a software platform. Unless expressly stated otherwise for a particular feature, ChooseASquare is not the organizer or sponsor of contests created by users and does not determine the legality of a user’s contest.

Organizers are responsible for administering their contests, establishing contest rules, determining participant eligibility, collecting any amounts owed directly to the organizer, paying winners, fulfilling prizes, resolving participant disputes, and complying with applicable laws and regulations.

3. Money and Payments Between Participants and Organizers

Unless a particular ChooseASquare feature expressly states otherwise, money exchanged in connection with a contest flows directly between participants and the organizer using payment methods selected by the organizer.

ChooseASquare does not take a percentage of contest pools or prizes and is not a party to transactions between organizers and participants.

Any dispute concerning contest payments, winnings, refunds, entry fees, prizes, or amounts owed between a participant and an organizer is generally a matter between those parties.

ChooseASquare may provide tools that help organizers record, reconcile, track, or communicate about payments. Such tools do not make ChooseASquare the owner, custodian, or recipient of those funds.

4. Legal Compliance and Organizer Responsibility

Squares pools, raffles, sweepstakes, contests, fundraising activities, and similar games are regulated differently under federal, state, provincial, local, and other applicable laws and may be restricted or prohibited in certain jurisdictions.

Organizers are solely responsible for determining whether their contests are lawful and for obtaining any licenses, registrations, approvals, or permissions required to conduct them.

Organizers are also responsible for applicable tax obligations and reporting requirements and for complying with the rules of any league, school, employer, organization, venue, governing body, or other third party associated with their activities.

ChooseASquare does not provide legal advice and does not represent or warrant that any particular contest or use of the Services is lawful in a user’s jurisdiction.

5. Subscriptions, Billing and Cancellation

ChooseASquare may offer free services, paid subscription plans, season passes, add-ons, or other paid features. Paid services are processed through our designated payment processor, which is currently Stripe.

By purchasing a recurring subscription, you authorize us and our payment processor to charge your selected payment method for the applicable subscription fees, add-ons, and taxes at each renewal until cancellation.

Billing

Paid plans may be billed monthly, annually, seasonally, or according to another billing period disclosed when you purchase the applicable service.

Upgrades

When you upgrade a plan or purchase an additional paid feature, the change may take effect immediately and you may be charged a prorated or otherwise disclosed amount.

Downgrades

Downgrades generally take effect at the end of the current paid billing period unless otherwise stated when the change is requested.

Cancellation

You may cancel a recurring subscription at any time. Unless an immediate-cancellation option is selected or otherwise stated, paid access will generally continue through the end of the current billing period.

Refunds

Except where required by law or expressly stated otherwise, subscription fees and other fees paid to ChooseASquare are non-refundable. We do not provide refunds or credits for partial billing periods, unused time, or unused features.

Price Changes

We may change prices or features associated with paid services. For recurring subscriptions, we will provide reasonable advance notice of material price changes before they apply to a subsequent renewal.

Failed Payments

If a payment fails, we may retry the payment and may limit, downgrade, or suspend paid features until payment is successfully completed.

6. Text Messaging and Mobile Communications

ChooseASquare may offer SMS, MMS, RCS, or other mobile messaging programs under the ChooseASquare brand. These programs may include service-related communications as well as optional marketing communications.

Providing a mobile telephone number does not by itself constitute consent to receive marketing text messages.

Service and Contest Messages

If you expressly opt in to receive service or contest-related text messages, ChooseASquare may send messages relating to your account or contests in which you participate or administer.

These messages may include, depending on the features you use:

  • account and security notifications;
  • verification or authentication messages;
  • contest invitations and participation information;
  • pick or entry confirmations;
  • contest deadlines and reminders;
  • scoring and results notifications;
  • winner notifications;
  • payment status, receipt, or reconciliation notifications;
  • messages or announcements sent through ChooseASquare by a contest organizer;
  • important changes affecting a contest in which you participate; and
  • other operational communications relating to your use of ChooseASquare.

Message frequency varies depending on your account activity, contest participation, settings, and the communications generated by organizers or ChooseASquare.

Message and data rates may apply.

Consent to receive text messages is not a condition of purchasing any ChooseASquare product or service.

Marketing and Promotional Messages

ChooseASquare may separately offer users the opportunity to opt in to receive marketing or promotional text messages.

If you expressly opt in to marketing messages, you authorize ChooseASquare to send recurring automated marketing and promotional text messages to the mobile number you provided. These messages may include information about ChooseASquare products, features, promotions, contest ideas, offers, events, and related services.

Message frequency varies. Message and data rates may apply.

Consent to receive marketing text messages is optional, is not a condition of purchase or use of the Services, and must be provided separately from consent to receive service or contest-related messages.

Automated Technology

Messages may be sent using automated technology, including automated telephone dialing or messaging systems.

Mobile Number Responsibility

By enrolling a mobile number in a ChooseASquare messaging program, you represent that you are the subscriber or customary user of that number and that you are authorized to consent to receive messages at that number.

If you change or relinquish your mobile number, you agree to update or remove the number from your ChooseASquare account or messaging preferences.

Opting Out

You may opt out of a ChooseASquare text messaging program at any time by replying STOP to a message from that program.

Other recognized opt-out keywords may also be supported, including CANCEL, END, QUIT, UNSUBSCRIBE, or OPTOUT.

After submitting an opt-out request, you may receive a final confirmation message acknowledging your request. You will no longer receive messages from the applicable messaging program unless you subsequently provide consent again.

Because ChooseASquare may operate separate informational and marketing messaging programs, opting out of one program may not automatically opt you out of another program for which you have separately provided consent.

Delivery

Wireless carriers and other communications providers control message delivery, and delivery is not guaranteed.

Carriers are not liable for delayed or undelivered messages.

ChooseASquare is not responsible for messages that are delayed, misdirected, filtered, blocked, or not delivered because of carrier systems, network availability, an incorrect or reassigned telephone number, device settings, or circumstances outside our reasonable control.

Mobile information and text messaging opt-in data and consent will not be sold, rented, or shared with third parties or affiliates for their own marketing or promotional purposes.

We may share information with service providers that process communications on our behalf solely as necessary to provide and operate our messaging services.

7. Communications Sent by Contest Organizers

ChooseASquare may allow contest organizers to send or initiate communications to participants through the Services, including email, text messages, notifications, or other communications.

Organizers may only use these features for recipients who have provided the consent required for the applicable type of communication.

Organizers may not use ChooseASquare to send unsolicited messages, spam, deceptive communications, or communications that violate applicable law, telecommunications requirements, carrier rules, or ChooseASquare policies.

Where applicable, organizers are responsible for ensuring that they have obtained and can demonstrate legally sufficient consent from recipients before initiating communications through ChooseASquare.

ChooseASquare may restrict or suspend messaging privileges where we reasonably believe messaging features are being misused or communications are being sent without appropriate consent.

8. Acceptable Use

You agree not to:

  • use the Services for unlawful gambling, contests, fundraising, or other activities;
  • misrepresent your identity, organization, contest, or intended use of funds;
  • upload or distribute content that infringes intellectual-property rights or is unlawful, defamatory, fraudulent, threatening, harassing, obscene, or otherwise prohibited;
  • attempt to gain unauthorized access to accounts, systems, or data;
  • probe, interfere with, circumvent, or disrupt the security or operation of the Services;
  • scrape, reverse engineer, copy, or use the Services to create a competing service except as permitted by applicable law;
  • send spam, unsolicited messages, or communications for which required consent has not been obtained;
  • use purchased, rented, scraped, harvested, or transferred telephone-number lists for messaging;
  • sell, rent, transfer, or otherwise provide another party with a person’s messaging consent;
  • conceal or misrepresent the sender or purpose of a communication; or
  • use the Services in a manner that could cause ChooseASquare, its communications providers, or telecommunications carriers to violate applicable law or industry requirements.

9. Your Content

You retain ownership of content you submit to ChooseASquare, including organization names, logos, branding, contest information, rules, messages, and other materials.

You grant ChooseASquare a non-exclusive, worldwide, royalty-free license to host, store, process, reproduce, transmit, display, and otherwise use that content as reasonably necessary to operate and provide the Services.

You represent that you have the rights and permissions necessary for content you submit, including any logos, trademarks, images, or other protected materials.

10. Intellectual Property

The Services, including ChooseASquare software, interfaces, designs, branding, trademarks, and other proprietary materials, are owned by ChooseASquare or its licensors and are protected by intellectual-property laws.

Except for rights expressly granted under these Terms, ChooseASquare reserves all rights in the Services.

11. Third-Party Services

ChooseASquare relies on third-party service providers to operate portions of the Services. These providers may include payment processors, communications providers, authentication providers, hosting providers, analytics providers, and sports-data providers.

For example, we currently use Stripe for certain payment processing services and Twilio for certain communications and text messaging services.

Your use of features involving third-party services may also be subject to applicable third-party terms and policies.

ChooseASquare is not responsible for the availability, performance, acts, or omissions of independent third-party services.

12. Contest Results and Data

ChooseASquare may use third-party sports data, automated scoring systems, organizer-entered results, or other information to calculate contest standings and outcomes.

While we work to provide accurate information, sports data, scoring information, statistics, schedules, and other data may occasionally be delayed, incomplete, corrected, or inaccurate.

Organizers remain responsible for their contests and for resolving contest-specific scoring disputes or determining final results where necessary.

13. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR COMPLETELY ACCURATE, OR THAT ANY CONTEST CONDUCTED USING THE SERVICES IS LAWFUL IN YOUR JURISDICTION.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHOOSEASQUARE AND ITS OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES OR FOR LOSS OF PROFITS, FUNDS, DATA, GOODWILL, CONTEST WINNINGS, OR OTHER INTANGIBLE LOSSES ARISING FROM OR RELATING TO THE SERVICES OR ANY CONTEST.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID DIRECTLY TO CHOOSEASQUARE DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR US$100.

15. Indemnification

You agree to indemnify, defend, and hold harmless ChooseASquare and its officers, employees, contractors, affiliates, and suppliers from claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys’ fees, arising from or relating to:

  • your use of the Services;
  • a contest you organize or administer;
  • your collection or distribution of funds or prizes;
  • communications you initiate through the Services;
  • your content;
  • your violation of these Terms; or
  • your violation of applicable law or third-party rights.

16. Suspension and Termination

We may suspend, limit, or terminate access to all or part of the Services if you violate these Terms, misuse the Services, create legal or security risks, violate communications or carrier requirements, or where suspension is reasonably necessary to protect ChooseASquare, our users, our service providers, or others.

You may stop using the Services and may delete your account subject to any applicable retention requirements.

Provisions that by their nature should survive termination will survive.

17. Governing Law and Disputes

These Terms are governed by the laws of the State of Kansas, without regard to conflict-of-laws principles.

Unless otherwise required by applicable law or agreed by the parties, disputes arising from or relating to these Terms or the Services will be resolved in the state or federal courts located in Johnson County, Kansas, and you and ChooseASquare consent to the jurisdiction of those courts.

18. Changes to These Terms

We may update these Terms from time to time.

When we do, we will post the revised Terms and update the “Last updated” date. Where required by law, we will provide additional notice or obtain additional consent.

Changes to these Terms do not by themselves expand the scope of consent you previously provided for marketing text messages.
